1. Scope of Application
These General Terms and Conditions of Sale (“Terms”) apply to all sales of products from Wawawines AB (“Wawawines”, “the Seller”) to restaurants, hotels, cafés, catering companies, and other professional buyers within the HORECA sector (“the Customer”). The Terms form part of every contract entered into unless otherwise agreed in writing.
The Terms do not apply to deliveries to Systembolaget, for which Systembolaget's own contractual terms apply.
By placing an order, the Customer accepts these Terms in their entirety. In the event of a discrepancy between a specific assignment agreement and these Terms, the assignment agreement shall take precedence.
2. Contracting Parties and Authority
The Customer is responsible for ensuring that the person placing the order has the authority to enter into binding agreements on the Customer's behalf. Wawawines reserves the right to request credit reports and/or demand advance payment for new customers or customers with outstanding debts.
The Customer must hold all necessary licenses to operate a food and beverage business or other HORECA-related business in accordance with applicable Swedish legislation, including a liquor license under the Alcohol Act (2010:1622).
3. Products and Prices
3.1 Range
Wawawines' product range is listed in the currently applicable price list or product catalog. Wawawines reserves the right to adjust the product range without prior notice, e.g., due to stock availability, vintage changes, or changes in import conditions.
3.2 Prices
All prices are stated in Swedish Kronor (SEK) excluding value added tax (VAT) unless otherwise specified. The applicable VAT rate will be added to the invoice. Wawawines reserves the right to adjust prices with reasonable advance notice, normally at least ten (10) days' written notice. For orders already confirmed, the price applicable at the time of the order shall apply.
3.3 Promotional Prices and Offers
Any promotional prices, discounts, or special offers are valid during the specified period and cannot be combined with other offers unless explicitly stated otherwise.
4. Orders and Order Confirmation
An order is binding on the Customer from the moment it is sent to Wawawines. A binding order confirmation from Wawawines exists when Wawawines has confirmed the order in writing via email or another written medium. Verbal confirmations are not binding on Wawawines.
The minimum order quantity is six (6) bottles per order, which corresponds to a standard box. Orders below the minimum quantity may be refused or charged a handling fee.
The Customer is responsible for checking the order confirmation and promptly notifying Wawawines of any errors, at the latest within one (1) business day from receipt.
5. Delivery
5.1 Delivery Time
Wawawines strives to deliver within one (1) to two (2) business days from confirmed order, provided the goods are in stock and the order is received no later than 12:00 PM. Delivery times are estimates and not binding commitments. Wawawines is not responsible for delays caused by carrier, force majeure, or circumstances beyond Wawawines' control.
5.2 Shipping Costs
Shipping is free of charge for orders exceeding 5,000 SEK excluding VAT. For orders below 5,000 SEK excluding VAT, shipping costs will be added in accordance with the current shipping tariff, which is specified at the time of order or on the invoice.
The industry standard in the wine trade and beverage distribution is typically free shipping from 1,000–3,000 SEK. Wawawines' limit of 5,000 SEK reflects the company's boutique profile and cost structure for imported specialty goods.
5.3 Delivery Terms and Transfer of Risk
Delivery takes place to the delivery address specified by the Customer. The risk for the goods passes to the Customer upon delivery at the delivery address (DAP – Delivered at Place, Incoterms 2020). The Customer must ensure that an authorized person is available to receive the delivery. In the event of non-reception, Wawawines reserves the right to charge for return transport and redelivery costs.
5.4 Partial Deliveries
Wawawines reserves the right to deliver an order in parts if not all products are available at the same time. Shipping costs are calculated based on the total order, not per partial delivery.
6. Receipt Inspection and Complaints
Upon receipt, the Customer must check the delivery against the delivery note regarding the number of packages, visible damage, and packaging condition. Any transport damage or discrepancies must be noted on the waybill and reported to Wawawines in writing within one (1) business day of delivery.
Complaints regarding hidden defects, faulty goods, or quality deficiencies must be made in writing to Wawawines within eight (8) days of the delivery date. Complaints received after this deadline may be rejected. In the event of an approved complaint, a replacement delivery or credit note is offered at Wawawines' discretion.
The Customer does not have the right to return goods without prior written approval from Wawawines.
7. Payment Terms
7.1 Payment Period
Payment must be made within ten (10) days net from the invoice date unless otherwise agreed in writing. The invoice is issued in connection with delivery or immediately thereafter.
7.2 Late Payment Interest
In the event of late payment, interest on late payments will be charged in accordance with the Interest Act (1975:635), currently the reference rate plus eight (8) percentage points, calculated from the due date. Wawawines also reserves the right to charge reminder fees and debt collection costs in accordance with the Debt Collection Act (1974:182).
7.3 Retention of Title
Delivered goods remain Wawawines' property until full payment has been received. The Customer has no right to sell, pledge, or otherwise dispose of the goods before payment.
7.4 Offsetting
The Customer is not entitled to offset any claims against Wawawines against invoice amounts without prior written consent.
8. Limitation of Liability
Wawawines' liability is in any event limited to the invoiced value of the relevant delivery. Wawawines is not liable for indirect damages, loss of profits, loss of business operations, or other consequential damages.
Wawawines provides no warranties beyond what follows from mandatory Swedish legislation. Character descriptions, tasting notes, and recommendations are indicative and do not constitute a warranty for a specific taste result.
9. Force Majeure
Wawawines is exempt from liability for failure to fulfill obligations under the agreement if the failure is due to circumstances beyond Wawawines' reasonable control, such as natural disasters, war, pandemic, strikes, government measures, disruptions in transport infrastructure, or other similar events. Wawawines shall immediately notify the Customer of such impediment.
10. Personal Data
Wawawines processes personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) as well as applicable Swedish data protection legislation. Data is collected for the purpose of administering the customer relationship, managing orders, and fulfilling legal obligations. The Customer can at any time request information about the processing or exercise their rights by contacting Wawawines at the specified contact address.
11. Amendments to the Terms
Wawawines reserves the right to update these Terms. The current version will be published on Wawawines' website and/or communicated to active customers. A continued business relationship after updated Terms have entered into force means that the Customer has accepted the new Terms.
12. Applicable Law and Dispute Resolution
These Terms are governed by Swedish law. Disputes arising in connection with the Terms or agreements entered into on the basis of the Terms shall first and foremost be resolved through negotiation. If negotiation does not lead to a solution, the dispute shall be settled by a Swedish general court with the Gothenburg District Court as the court of first instance.
